This Subcontractor Agreement (the "Agreement") is entered into as of [Date] by and between:

WHEREAS, the Subcontractor represents it has the necessary skills, qualifications, licenses, and resources to perform the work described in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises and agreements herein, the parties agree as follows:

The Subcontractor agrees to perform the following tasks ("Work"):

6. Confidentiality

The Subcontractor agrees to keep all project-related information confidential and not disclose it to third parties without prior written consent.


7. Insurance and Liability

The Subcontractor must maintain the following insurance coverage:

The Subcontractor is liable for damages or injuries caused by its negligence during the project.


8. Termination
